Trade References (Product Vendors):

The person signing below for the business named above (“the business”) states and represents that all of the above information is true and complete and provided for the purpose of persuading The Fish Guys, Inc. (“Fish Guys”) to establish an open line of credit for the business. Fish Guys is authorized to investigate any information from any source it considers relevant to the businesses’ credit worthiness or the owner(s)’ credit worthiness, including reports from credit reporting agencies. Should Fish Guys grant credit to the business, the business agrees to pay Fish Guys according to the terms listed on the Fish Guys’ invoice. The business further agrees to pay all legal fees and other costs of collection incurred by the Fish Guys in collecting any amounts due to Fish Guys by the business. The business agrees that any legal proceedings between the business and the Fish Guys shall be venued only in the state or federal courts in Hennepin County, Minnesota.

PERSONAL GUARANTY

In consideration of The Fish Guys, Inc. (“Fish Guys”) furnishing merchandise to the business named on the preceding credit application (“the business”), each of the undersigned, jointly and severally, in his/her individual capacity (“Guarantor”), absolutely and unconditionally guarantees to Fish Guys the full and prompt payment of all indebtedness, liabilities and obligations of the business to Fish Guys, now or hereafter existing. This is a continuing Guaranty. This Guaranty may be terminated (but only insofar as it relates to obligations of the business thereafter incurred) only upon written notice to that effect delivered to Fish Guys by Certified Mail – Return Receipt Requested. If the business defaults in any payment to Fish Guys, or violates any other terms or conditions of any other contract or agreement between the business and Fish Guys, Guarantor agrees to pay upon demand and perform such indebtedness, liabilities and obligations of the business, together with any expenses, interest, fees and costs of collection at any time paid or incurred by Fish Guys, including reasonable attorney’s fees, whether or not in connection with a judicial proceeding, in attempting to collect such indebtedness, liabilities and obligations and in enforcing this Guaranty. Guarantor agrees that any legal proceedings between Guarantor and the Fish Guys shall be venued only in the state or federal courts in Hennepin County, Minnesota.
